Need script to import two text files into Mysql

I need a simple php script to firm import two large text files into a mysql table and later to continue updating from those two files if they have changed. The text files are online, should be downloaded into two local text files, then the script should import/update the table as needed when run. The two files are something like this File 1 looks like; xxx some item description on the rest of this line xxx some item description on the rest of this line Where the first column is a number and the second column is a description. File 2 looks like; 09.87654.301 xxx 0.987.65.4303 xxx Where the first column is a dotted number and the second column is the matching matching first column number of the first imported file. The second file will contain multiple dotted numbers which often belong with the same number of the first file. I can show you an example when we chat.
